These Terms of Service ("Terms") govern your use of Lexaclaw, an AI-powered compliance assistant for startups, operated by Forcefield ("we," "us," or "our"). By using Lexaclaw, you agree to these Terms.

1. What Lexaclaw Is

Lexaclaw is a software tool that helps startups discover, track, and manage corporate compliance obligations. It runs locally on your machine, scans your documents, tracks filing deadlines, assists with government forms, and generates legal document templates.

2. What Lexaclaw Is Not — Important Disclaimer

Lexaclaw is not a law firm and does not provide legal advice. The information and documents generated by Lexaclaw are for informational and convenience purposes only. They do not constitute legal advice, and no attorney-client relationship is created by using Lexaclaw.

You are solely responsible for:

  • Reviewing all documents generated by Lexaclaw before signing, filing, or relying on them
  • Verifying that compliance information is accurate and current for your specific situation
  • Consulting with a qualified attorney for legal advice tailored to your circumstances
  • Ensuring all government filings are complete, accurate, and timely

Compliance rules vary by jurisdiction, entity type, and specific circumstances. While we strive to maintain accurate and current rule data, we cannot guarantee that Lexaclaw's information reflects every possible requirement that may apply to your startup.

3. Eligibility

Lexaclaw is intended for use by individuals who are at least 18 years old and are authorized to act on behalf of a business entity. By using Lexaclaw, you represent that you meet these requirements.

4. Your Use of Lexaclaw

You may use Lexaclaw for your startup's internal compliance management purposes. You agree not to:

  • Use Lexaclaw to provide legal services to third parties
  • Misrepresent Lexaclaw-generated documents as having been prepared or reviewed by an attorney (unless they have been)
  • Attempt to interfere with or disrupt the compliance engine or related services
  • Use Lexaclaw for any unlawful purpose

5. Open Source

Lexaclaw is open source software built on the OpenClaw agent framework. The source code is available under the applicable open source license(s) specified in the project repository. These Terms apply to your use of the hosted service and compiled application. For source code use, the applicable open source license governs.

6. Pricing

Lexaclaw is currently free for startups. We reserve the right to introduce paid features or tiers in the future.

7. Your Data

Lexaclaw operates locally on your machine. Your documents, company data, and generated files are stored on your device. We do not access, collect, or store your company's documents or data. See our Privacy Policy for details on what limited information may be transmitted during compliance rule lookups.

You are responsible for backing up your local data. We are not responsible for data loss on your device.

8. Intellectual Property

Documents generated by Lexaclaw using your company's data belong to you. The Lexaclaw software, brand, and compliance rule database are the property of Forcefield, subject to applicable open source licenses.

9. Disclaimer of Warranties

Lexaclaw is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement.

We do not warrant that:

  • The compliance information provided is complete, accurate, or current
  • Generated documents will be suitable for your specific legal needs
  • The software will be uninterrupted or error-free
  • Any government filing prepared with Lexaclaw's assistance will be accepted

10. Limitation of Liability

To the maximum extent permitted by law, Forcefield and its founders, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of Lexaclaw, including but not limited to:

  • Penalties, fines, or fees resulting from missed or incorrect filings
  • Losses arising from reliance on generated documents without legal review
  • Business losses, lost profits, or reputational harm
  • Damages arising from data loss on your local device

Our total liability for any claim arising from your use of Lexaclaw shall not exceed the amount you paid us in the twelve months preceding the claim (which, for free users, is zero).

11. Indemnification

You agree to indemnify and hold harmless Forcefield and its founders, employees, and affiliates from any claims, damages, or expenses arising from:

  • Your use of Lexaclaw
  • Documents you file or execute based on Lexaclaw's output
  • Your violation of these Terms
  • Your violation of any applicable law or regulation

12. Changes to These Terms

We may update these Terms from time to time. We will post the updated version on our website with a revised "Last Updated" date. Your continued use of Lexaclaw after changes are posted constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.

14. Termination

You may stop using Lexaclaw at any time. We reserve the right to suspend or terminate access to the compliance engine or related services at our discretion, with reasonable notice when practicable.
